These Terms of Service ("Terms") govern your use of the website at https://passiveautomationcorp.figma.site/ (the "Site") operated by Passive Automation Agency LLC, doing business as Passive Automation ("Passive Automation," "we," "us," or "our"), based in Greenville, South Carolina, USA.

By using the Site, submitting an application, or booking a call, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

Passive Automation is a managed e-commerce service. We help clients build and operate online stores on marketplaces such as Amazon, Walmart, and eBay. The client owns the store; we provide services to help run it.

Submitting an application does not guarantee that we will accept you as a client. We may accept or decline any applicant for any lawful reason.

4. Separate Client Service Agreement

These Terms cover use of the Site only. Any paid engagement is governed by a separate written client service agreement signed by you and us. If that agreement conflicts with these Terms, the client service agreement controls for the paid services.

5. No Guarantee of Income or Results

We do not guarantee any income, profit, sales, or results. Any examples, testimonials, case studies, or figures on the Site or in our communications are illustrative only and are not typical or promised. Results depend on many factors outside our control, including market conditions, product demand, competition, marketplace decisions, supplier performance, and your own capital and decisions.

Starting and running an e-commerce business involves real financial risk. You may lose some or all of the money you invest, including service fees, inventory costs, advertising spend, and working capital. Only commit funds you can afford to lose.

Passive Automation is an independent company. We are not affiliated with, endorsed by, or sponsored by Amazon, Walmart, eBay, or Meta (Facebook/Instagram). All such names and trademarks belong to their respective owners and are used only to describe the platforms we work with.

10. Intellectual Property

The Site and its content, including text, graphics, logos, design, and materials, are owned by or licensed to Passive Automation and protected by intellectual property laws. You may view the Site for your personal, non-commercial use. You may not copy, modify, distribute, or create derivative works from it without our written permission.

If you send us feedback or ideas, we may use them without any obligation to you.

The Site uses or links to third-party services such as Jotform, Calendly, and Meta. We are not responsible for third-party services, content, or policies. Your use of them is at your own risk and subject to their terms.

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, or secure.

TO THE FULLEST EXTENT PERMITTED BY LAW, PASSIVE AUTOMATION AND ITS OWNERS, OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, CAPITAL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Liability for paid services is governed by the client service agreement.

Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

You agree to defend, indemnify, and hold harmless Passive Automation and its owners, officers, employees, and contractors from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site, your violation of these Terms, or your violation of any law or third-party right.

15. Governing Law and Venue

These Terms are governed by the laws of the State of South Carolina, USA, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Site will be brought exclusively in the state or federal courts located in Greenville County, South Carolina, and you consent to their jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on the Site and change the "Effective date" above. Continued use of the Site after changes means you accept the updated Terms.

17. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a business transfer. These Terms, together with our Privacy Policy, are the entire agreement regarding use of the Site.
